A KINGSMILL ELECTION – INTEGRITY IS AT STAKE

The following is an editorial written by Don Tortorice  a resident of Kingsmill and a professor at the William & Mary Law School.  He was given the Walter Williams Teaching Award for Excellence in Teaching and Devotion to Law by the law school’s graduating class of 2009.

This year, there is a crucial election of two of four KCSA resident directors to the Kingsmill homeowners’ association board.  We have an opportunity to elect two members who can truly give voice to the concerns of Kingsmill residents. 

For more than thirty years, Busch Properties has directed the operation and expenses of what is supposed to be our homeowner association.  However, KCSA has never had its own employees.  Rather, the KCSA employees have been Busch employees, paid and directed by Busch Properties.

For more than thirty years, Busch has provided administrative and maintenance services to KCSA under an oral, cost-plus contract under which Busch guaranteed to itself a profit.  Last year, for the first time, the board decided to have a written contract for KCSA services and appointed the four resident-elected directors to negotiate a contract for those services.  Did they did go to the national market for competing bids?  No, they did not. They did something any responsible business person would find incredible.  They negotiated with and came to an agreement with one party – Busch Properties.  And, in concluding the agreement, the committee of resident-elected directors, even though they were acting as fiduciaries over the $4 Million budget of KCSA, conducted every one of its meetings in secrecy.

The tragedy of current governance by the KCSA board is not simply that it continues to be dominated by Busch Properties appointees, but that the directors who were elected by Kingsmill residents have been quietly and consistently complicit with the Busch majority, notwithstanding that:

  • Busch owns fewer than 5% of the lots in Kingsmill

  • Busch contributes no money to the KCSA budget because the covenants written by Busch exempt its lots from KCSA assessment

  • KCSA spends hundreds of thousands of homeowners’ dollars in landscaping and irrigation to create a beautiful environment in which Busch sells those lots

  • The KCSA board has responded to persons dissenting from their policies by threatening letters from their lawyer – delivered by the Kingsmill police.

Although they sit as fiduciaries, the KCSA board, through its legal counsel, has refused resident requests for fundamental information, such as: a list of KCSA employees; a list of KCSA members and addresses; material invoices from Busch Properties to KCSA; a schedule of KCSA assets; copies of minutes of the KCSA contingency planning committee; and invoices for legal services paid by KCSA.

We need desperately to have resident directors with substance and integrity to represent truly the interests of Kingsmill residents.  I recommend that you cast your vote for the following persons who I believe have substance and integrity to stand up for Kingsmill.  They are Richard Gould and John Niland.
